Proceedings in Commercial Register Matters Abstract The topic of this diploma thesis is the proceedings in commercial register matters, i.e. proceedings before civil courts on the entries of legally relevant facts in the commercial register. The commercial register is an important institute, especially for business relations involving entrepreneurs, which ensures the transparency of the entrepreneur through the registration of their relevant information and further makes such information publicly available to third parties. In addition to the option of contacting a notary, it is also possible to achieve the required registration in the commercial register through legal proceedings before the civil (so-called register) courts that decide on them. The ambition of this thesis is to describe, analyse and critically evaluate the existing legal regulation of proceedings in commercial register matters, or the current legal status of its important institutes, as well as to point out controversial issues and outline their possible solutions. Transparency of Corporate Governance in the Czech Republic

This main content of this thesis is focused on analyzing the fullfilment of the obligation to publish information by selected companies in the Czech Republic (specifically financial statements). The theoretical part describes the legislative framework and discusses the merits of statutory disclosure obligations. The practical part consists of two main parts: analysis of the source data obtained from public register and the evaluation of the questionnaire survey carried out on a representative sample of businesses of two groups; those who fullfil regular information duty and those who haven´t submited those documents to the Registry Court yet or didn´t submit them in the right time. The analyzed current situation, possible solutions and areas for improvement are described in conclusion.
The Business Register in the Czech Republic

The thesis is focused on a contemporary legal regulation of the Business Register in the Czech Republic. I deal with priciples of his administration, registered facts and subjects of law and effects of these registrations. Futhermore there is described a course of the judicial process in the first instance. At last there is briefly described the involvement of the Business Register of the Czech Republic into the European Business Register. The law regulations of the Business Register are complicated, but their improving still continue.

The bachelor thesis deals with legal form of Register of Companies in the Czech Republic. The main aim of this thesis is to define Register of Companies, its material and procedural legal form. In introductory chapter the fundamental terms related to Register of Companies and also the main principles are specified. The main part of the thesis enlarges the development of Register of Companies from The Middle Ages to current legal form and also devotes the proceedings of Register of Companies with concept for its improvement. The conclusion of the thesis submits the instructions on how to gain the statement of Register of Companies as simple as possible.
